Marketplace model. LegalHusk operates an online technology marketplace where Clients and independent Professionals meet, communicate, form direct engagements, and work toward the successful completion of Professional Services. LegalHusk facilitates marketplace access, administrative workflows, communications, records, support, and payment administration through third-party providers. LegalHusk does not provide Professional Services, is not a law firm, does not employ or supervise Professionals, is not a party to Client and Professional engagements, and does not guarantee any legal, financial, commercial, or other result.
Mandatory rights. This Addendum supplements the Marketplace Terms and Conditions for consumers outside the United States. It does not reduce a right or remedy that applicable law makes mandatory.
1. Scope
This Addendum applies when a Client uses LegalHusk mainly for personal purposes and mandatory consumer law in the Client's habitual residence applies to Platform Services or an Order. It is especially intended for consumers in the European Economic Area and United Kingdom, with local adaptation for other jurisdictions.
LegalHusk may provide another regional notice where local law requires different information, language, cancellation, complaint, pricing, tax, platform, or trader rules. If a mandatory local rule conflicts with this Addendum or the Terms, the local rule controls to the required extent.
2. Marketplace and Trader Status
LegalHusk operates a technology marketplace. Professional Services are offered and performed by independent Professionals, not LegalHusk. Before an Order, the Platform should identify whether the Professional acts as a trader or business for consumer law purposes and should display information required by applicable online marketplace law.
For a Professional acting as a trader, required information may include legal name, business contact information, physical address for compliance, registration or credential details, service jurisdiction, main service characteristics, total price, taxes, payment and performance arrangements, complaint method, and cancellation rights.
The Professional is responsible for the accuracy and legal sufficiency of Professional information and Professional Services disclosures. LegalHusk is responsible for disclosures concerning Platform Services and the marketplace functions it controls.
3. Precontract Information
Before the Client places an Order, the Client should receive clear information concerning:
- identity and contact information of LegalHusk and the Professional as required by law;
- the main characteristics, scope, exclusions, deliverables, and timing of services;
- the Professional's regulated status, service jurisdiction, and supervising Professional where applicable;
- total Professional Fee, separate Platform Fee, taxes, expenses, currency, and any additional charge;
- payment, performance, milestone, review, cancellation, and refund conditions;
- the duration and termination conditions of any continuing contract;
- complaint, regulator, and dispute channels;
- functionality and compatibility of any digital element where required; and
- the existence, conditions, time limit, and method of a withdrawal right or a lawful reason that no such right applies.
The Order button or equivalent final control must make clear that submission creates an obligation to pay where required. Optional charges must not be selected through a default choice where law prohibits it.
4. Contract Confirmation
LegalHusk or the Professional will provide confirmation on a durable medium, such as email or an account record that can be stored and reproduced, within the period required by law and no later than the start of services where required.
The confirmation should include the accepted Terms version, Engagement Agreement, Order scope, total price, payment status, withdrawal information, early performance request if any, and model cancellation form.
5. Withdrawal Right for Services
Where European Economic Area or United Kingdom distance contract law applies, a consumer generally has fourteen calendar days to withdraw from a service contract without giving a reason, unless a lawful exception applies. The period generally begins when the service contract is concluded.
This statement is subject to local implementing law, the nature of the service, and mandatory exceptions. LegalHusk and the Professional must present the applicable notice before the Order and must not assume that a general Terms acceptance is sufficient.
To withdraw, the consumer must communicate an unequivocal decision before the period expires. The consumer may use the model form in Schedule A but is not required to use it.
6. Request for Early Performance
If the consumer wants Platform Services or Professional Services to begin during the withdrawal period, LegalHusk and the Professional must obtain any express request required by law. The request should be captured separately for each service provider where their contracts are separate.
The checkout or engagement record should state:
Early performance request for Platform Services. I expressly request that LegalHusk Platform Services begin before the end of my applicable fourteen day withdrawal period. A separate affirmative request must identify Professional Services if I also want the independent Professional to begin early.
Proportionate payment acknowledgement. I understand that if I withdraw after performance begins, I may have to pay a proportionate amount for services properly provided before I communicated withdrawal, to the extent permitted by law.
No preselected control should be used where affirmative consent is required.
7. Full Performance and Loss of Withdrawal Right
Where applicable law permits the withdrawal right for a service to end after full performance, performance must not begin or complete on that basis unless the consumer has expressly consented to commencement and acknowledged that the withdrawal right will be lost after full performance, and every other legal condition is satisfied.
The checkout or engagement record should state:
Full performance acknowledgement. I understand that if the requested service is fully performed during the withdrawal period after my express consent, I may lose the right to withdraw from that service where applicable law permits.
An automatic milestone status, delivery upload, or payout schedule does not prove valid consent. LegalHusk and the Professional must preserve the wording, date, account, and affirmative action.
8. Amount Payable After Withdrawal
If the consumer validly withdraws after requesting early performance, the consumer may owe only the proportionate amount permitted by applicable law for services properly supplied before withdrawal. The calculation should compare the work performed with the total agreed service and must not operate as a penalty.
No amount may be charged for early performance if required information or express request was not properly obtained, or where local law otherwise prohibits the charge.
The Professional remains responsible for determining and returning unearned Professional Fees. LegalHusk is responsible for refunding its Platform Fee to the extent required by law and this Addendum.
9. Refund Timing and Method
Following a valid withdrawal, amounts due back will be refunded without undue delay and within the mandatory local period, ordinarily no later than fourteen days after the relevant provider is informed of the withdrawal where that rule applies.
The refund will ordinarily use the original payment method unless the consumer expressly agrees otherwise and incurs no prohibited fee. Payment Provider processing time may affect when the financial institution displays the refund, but does not extend a mandatory provider deadline where law does not allow it.
10. Digital Content and Immediate Access
If an Order includes digital content supplied other than on a tangible medium and local law treats it separately from a service, LegalHusk or the Professional must obtain the consumer's prior express consent to immediate supply and acknowledgement of any resulting loss of withdrawal rights before supply begins.
A deliverable created through Professional Services is not automatically classified as digital content for every legal purpose. LegalHusk and the Professional must apply the correct local classification.
11. No Waiver by Acceptance or Use
Continued Platform use, failure to complain during an Order review period, automatic payout scheduling, or acceptance of a deliverable does not waive a mandatory consumer right. A contract term is binding only to the extent applicable law permits.
The Client may retain rights concerning conformity, reasonable care and skill, unfair terms, misleading practices, payment services, privacy, discrimination, accessibility, and remedies in addition to withdrawal rights.
12. Professional Services Complaints
A complaint about Professional Services should be sent to the Professional using the contact in the Engagement Agreement. A Platform administration complaint may be sent to [email protected] under the Complaints Policy.
LegalHusk may facilitate communication and administer payments but does not decide malpractice, ethics, fee reasonableness, or legal liability. The consumer may contact a professional regulator, consumer authority, privacy authority, court, insurer, fee program, or another competent body.
13. Online Marketplace and Illegal Content Rights
Where applicable online platform law requires it, LegalHusk will collect and verify specified trader information before permitting the Professional to offer services to consumers; design the interface to support required trader disclosures; provide a mechanism to report illegal content; give reasons for material moderation decisions; and provide an internal complaint path.
The Professional must keep trader and credential information accurate. A verification check does not make LegalHusk the seller of Professional Services or guarantee the Professional.
14. Ranking and Sponsored Results
LegalHusk may explain the main parameters that determine ranking and the relative importance of those parameters where required. Search results may consider service jurisdiction, practice area, language, availability, price information, responsiveness, completed Orders, reviews, and Client filters.
Paid placement will be clearly labeled sponsored or promoted. A ranking or sponsored position is not legal advice, professional certification, or a guarantee that the Professional is suitable.
15. Governing Law and Exclusive Delaware Forum
These Terms and any dispute, controversy, or difference arising out of, relating to, or in connection with the Platform, Platform Services, or this Agreement are governed by the laws of the State of Delaware, United States of America, without giving effect to its conflict of laws principles.
Subject only to mandatory law that cannot lawfully be waived, any dispute, controversy, or difference which may arise between the parties out of, in relation to, or in connection with this Agreement is hereby irrevocably submitted to the exclusive jurisdiction of the courts of Delaware, United States of America, to the exclusion of any other courts, without giving effect to its conflict of laws provisions or the User's actual state or country of residence.
For this purpose, the courts of Delaware include the state courts of the State of Delaware and the United States District Court for the District of Delaware, as subject matter jurisdiction permits. Each party consents to personal jurisdiction and venue in those courts and waives any objection based on inconvenient forum, except to the extent applicable law makes that waiver unenforceable.
For a consumer, these provisions apply only to the extent permitted by mandatory consumer law. A consumer retains any nonwaivable right to rely on the law or courts of the consumer's habitual residence. Nothing prevents a complaint to a competent authority or a request for urgent relief.
16. Language and Accessibility
LegalHusk may provide translations for convenience. Where law requires information or contract terms in a particular language, the required version will be provided and will control to the extent law requires.
LegalHusk will provide required information in a clear, comprehensible, and accessible manner. A consumer may contact [email protected] to request reasonable access assistance.
17. Local Variations
This Addendum states a general framework and is not a complete statement of every country's law. LegalHusk may issue country specific schedules concerning company information, taxes, withdrawal, trader verification, complaints, dispute bodies, representatives, language, or legal notices.
LegalHusk will not intentionally activate a new consumer jurisdiction until required local disclosures, payment flow, Professional eligibility, privacy, consumer, and operational controls have been reviewed and implemented.
